This document sets forth the legal terms governing access to, registration for, and use of the services provided on the website https://vcca.soxo.com (the “Website”), operated by the Vietnam Creative and Copyright Association (“VCCA”).
By registering for, accessing, or using the services available on this Website, you acknowledge that you have read, understood, and unconditionally agreed to be bound by these Terms of Service. These Terms apply without prejudice to any specific terms that may be separately defined in individual agreements or circumstances.
For the purposes of this document:
“Customer” or “User” means any individual or entity using VCCA’s services.
Any person registering or contracting on behalf of a third party warrants that they are duly authorized to represent and legally bind such third party.
The term “User” shall be construed in accordance with applicable consumer protection laws when referring to individuals acting outside commercial, business, or professional purposes.
The Creative Registration service includes:
Recording copyright and/or related rights information provided by the User into VCCA’s digital database.
Generating cryptographic fingerprints of registered works, together with a timestamp marking the exact registration date and time.
Publishing registration records on blockchain for enhanced authenticity and transparency, while ensuring confidentiality.
Recording and publishing licensing terms for the use and exploitation of registered works, as designated by the registrant.
Issuing a certificate of creative registration and license terms to the registrant.
If Users wish to publicly display a copy of the registered work, they must grant appropriate access rights to VCCA’s search and display tools.
The Author’s Portfolio Service provides a dedicated space for publicly showcasing works registered with VCCA, while enabling Users to transfer or license rights to third parties.
Through their VCCA portfolio, Users may:
Define access permissions for each work.
Decide which information to make public.
Allow or restrict copying, public display, downloads, or streaming.
Specify licensing models, exploitation terms, and commercial conditions with third parties.
Key features include:
Publication and promotion of works on [link] or an alternative location, indexed and searchable within VCCA’s internal engine.
Licensing facilitation for third parties, including exclusivity terms, territorial scope, permitted purposes, duration, and pricing.
A transaction and licensing workspace to manage copyright business transactions.
Electronic PDF certificates of copyright licenses, specifying the rights granted to the licensee.
VCCA services are provided via secure websites [link] and [link], protected by digital certificates ensuring trustworthiness.
Users must have:
A device such as a computer, smartphone, or tablet.
Stable internet connectivity.
An operating system and browser compatible with current tested versions.
VCCA does not actively access personal data except information voluntarily submitted by Users. However, the Website may record access time and usage history to improve customer experience.
To use VCCA services, Users must:
Register an account on the Website.
Receive an activation email and verify their account by clicking the confirmation link.
Unverified accounts are invalid. Mandatory fields marked with * must be completed to finalize registration.
Account Security:
Login credentials are strictly personal and non-transferable.
Passwords must remain confidential, even against individuals claiming to represent VCCA.
In case of suspected compromise, Users must notify VCCA immediately for account suspension. Users are fully responsible for all activities performed through their accounts until such notice.
Payment & Refunds:
Upon successful payment, Users will receive on-screen confirmation or a confirmation email within 24 hours.
Paper invoices may be requested through Customer Support.
Subscription plans may renew automatically monthly or annually.
Users may cancel accounts and request refunds within 7 days of registration, provided that no associated services have been used.
Additional Provisions:
Users are solely responsible for all submitted information and its consequences (e.g., works, access permissions, licensing conditions).
VCCA provides only the technical platform and does not represent Users in legal or copyright transactions.
Certificates generated by VCCA’s platform are not financial instruments and do not constitute VCCA’s participation in transactions.
Users represent and warrant that:
They are at least 18 years old with full legal capacity; or, in the case of legal entities, duly incorporated and lawfully operating.
All information provided is accurate, complete, lawful, and up to date.
VCCA reserves the right to suspend or terminate accounts, remove infringing content, or refuse services without liability in cases of:
Misrepresentation of information.
Copyright infringement.
Violation of applicable laws.
Prohibited activities include:
Using bots or automated software for unauthorized data access.
System attacks or exploitation of security vulnerabilities.
Identity spoofing or manipulation of access headers.
Unauthorized use of system resources affecting service integrity.
Note: VCCA provides an automated chatbot for general queries. Users must not enter sensitive personal data; VCCA disclaims liability for breaches resulting from such misuse.
Users represent and warrant that:
They are the rightful author or copyright holder, or have been duly authorized to register and manage intellectual property rights.
Works submitted do not infringe upon third-party rights.
They will comply with VCCA’s Copyright Infringement Handling Procedure if claims arise.
They will cooperate in ownership verification in case of disputes.
Users may choose Private Mode (not publicly displayed) or Public Mode (work metadata visible for indexing and licensing).
If works are showcased in the Author’s Portfolio, Users grant VCCA a non-exclusive, non-transferable, royalty-free license to reproduce and display such works within the platform for indexing, display, and licensing purposes.
Users represent and warrant that:
No legal restrictions prevent the publication, promotion, transfer, or licensing of their works.
They possess adequate documentation proving ownership and authorization, including but not limited to: authorship evidence, ownership proof, prior agreements, or legal representation.
Users must:
Abide by published license conditions.
Protect the rights of licensees without interference.
Fulfill tax, financial, and administrative obligations, including invoice issuance where applicable.
Violations may result in:
Claims for damages by licensees.
VCCA disclaiming legal liability for User actions.
Identity Verification:
Users must provide valid identification (e.g., National ID/Passport for individuals; business registration or incorporation documents for entities). VCCA stores such verification data for the duration of account activity and as legally required thereafter.
If VCCA receives a complaint regarding a registered work, the User must:
Respond to VCCA’s verification request.
Sign a declaration of responsibility confirming the accuracy of registration data.
Failure to respond within the required timeframe may result in cancellation of the disputed registration.
If three or more complaints are received across different works, VCCA reserves the right to terminate the User’s account and invalidate related certificates.
Storage & Preservation: Uploaded files are securely stored and not used beyond legally permitted purposes without User consent.
Confidentiality: Third-party access is prohibited unless required by competent state authorities.
Handling Violations: VCCA reserves the right to block, suspend, or terminate access to fraudulent, illegal, or non-compliant content/services.
By registering an account or using VCCA services, Users expressly consent to VCCA’s privacy and data processing policies.
Users must not enter sensitive personal data into automated functions (e.g., chatbots, APIs). VCCA disclaims responsibility for breaches caused by such misuse.
7.1. Fees and subscription packages are published on the Website and subject to periodic updates.
7.2. Payments:
VCCA does not access or store payment details (e.g., card numbers, bank accounts).
Payments are processed via secure third-party gateways with encryption.
7.3. Default in Payment:
Failure to pay constitutes breach of contract, may incur statutory interest, and may result in service suspension. Services are restored upon full settlement, including applicable fees and interest.
7.4. Unauthorized Payment Use:
Cases of fraud or unauthorized card use are handled by the payment gateway provider. Consumers must file complaints promptly to request transaction cancellation and immediate refunds.
8.1. VCCA Content Ownership:
All source code, interface design, text, images, audio, trademarks, trade names, brand identities, and technical components of the VCCA service are the exclusive property of VCCA. Users are granted a limited, non-transferable, non-exclusive right to use these elements only as part of the service.
The VCCA logo may only be used as attribution for works registered on the platform, unless expressly authorized in writing.
8.2. Registered Works:
VCCA does not claim ownership over registered works. Registration only provides timestamped proof of submission.
8.3. Copyright Complaints:
Users may report infringement by using the “Report Infringement” function or following VCCA’s official Copyright Complaint Procedure.
9.1. User Responsibility:
VCCA shall not be liable for:
Accuracy or legality of User-submitted data.
Infringement of third-party rights.
Legality and risks of User-to-User licensing agreements.
Users agree to indemnify VCCA against any claims, damages, or costs arising from their violations, including but not limited to:
Copyright infringement.
Violation of personal rights (data, image, reputation, etc.).
Misrepresentation in registration.
Distribution of unlawful content.
Indemnification covers legal fees, damages, penalties, and other losses.
9.2. Limitation of Liability:
VCCA’s aggregate liability shall not exceed the total service fees paid by the User in the twelve (12) months preceding the claim.
VCCA is not liable for:
Licensing conditions set by Users.
Disputes between licensors and licensees.
Legal consequences of User agreements.
10.1. Amendments:
VCCA may modify services, configurations, access processes, or these Terms within the scope permitted by law. Temporary suspensions for maintenance or upgrades do not entitle Users to claims.
10.2. Termination:
Services may be terminated if:
Users breach these Terms.
Users voluntarily close their accounts.
VCCA decides to discontinue services.
Users may terminate services at any time by account cancellation or submitting a formal request to VCCA.
These Terms are governed by the laws of the Socialist Republic of Vietnam.
Disputes arising out of or related to the use of VCCA services shall be subject to the jurisdiction of the competent People’s Court of Hanoi.
Transactions between licensors and licensees regarding works are governed by the laws and jurisdictions mutually agreed by the parties, without VCCA’s involvement.
